Terms and Conditions

  1. This competition is run by ViiV Healthcare UK Limited (“ViiV”) with registered office 980 Great West Road, Brentford, Middlesex, TW8 9GS.
  2. This competition is open to registered charitable organizations. Such organizations participating in this competition shall be referred to as “Entrants” in these Terms and Conditions.
  3. Here the Entrant is an organization with its own distinct legal personality (for example, a registered charity, or incorporation), such an Entrant agrees to comply with these Terms and Conditions (and the individual submitting the entry warrants that they have the authority to bind that Entrant in that way). Where the Entrant is not such an organization with its own distinct legal personality, the individual submitting the entry on behalf of the Entrant shall comply with these Terms and Conditions in their personal individual capacity and also procure the compliance of these Terms and Conditions by the Entrant.
  4. At any stage in the competition process, ViiV reserves the right to pass each Entrant’s details (and/or the details of any individual making the entry on the Entrant’s behalf) to the Charities Aid Foundation for validation. In the event that an Entrant is not validated, or for any other reason in ViiV’s absolute discretion, ViiV reserves the right to remove the Entrant’s application from the competition.
  5. ViiV must receive Entrants’ entries by April 4 2018 in accordance with these Terms and Conditions, after which date entries are invalid and will no longer be accepted.
  6. ViiV may (but shall not be obliged to) provide assistance in the production of Videos, including:
    • training materials on developing storyboards, how to make a good film, and editing films; and/or
    • online Q&A on key topics related to developing a film.
  7. If an Entrant would like to benefit from the assistance which ViiV may choose to provide as described in the following paragraph, it is recommended that a storyboard outlining the sequence of scenes/story for your film is submitted by 1 March 2018.
  8. To enter, Entrants must provide ViiV with its entry video footage (the “Video”) of three to five minutes in length in .MOV, .MPEG4, .AVI, .WMV, .MPEGS, .FLV, 3GPP, WebM format either by uploading the file to the competition website as directed to on the Positive Action For Children Fund website. Entrants who are unable to upload the film to the competition website may contact PACF to request alternative methods of providing their video which may include emailing the video file or by sending it on a USB drive or CD to ViiV Healthcare to the address specified in paragraph 1. Entry instructions for submission of videos are described in more detail on the competition website.
  9. There shall be a maximum of one entry per Entrant/organization.
  10. ViiV accepts no responsibility for entries which are illegible, incomplete, delayed, damaged or lost in the post or in uploading electronically or otherwise. Proof of posting is not proof of receipt of entry.
  11. There are two competition winners. At least one competition winner will be a current or past PACF grantee.
  12. Both competition winners will receive:
    • $10,000 unrestricted grant
    • registration to the 2018 International AIDS Society Conference (IAS 2018) in Amsterdam, Netherlands between 23-27 July 2018 (the “Amsterdam Prize”)
    • airfare to IAC 2018 as determined appropriate by ViiV and paid directly by ViiV
    • local accommodation for the duration of IAC 2018 (to be determined by IAS)
    • a daily expenses rate to cover food, transport, and other expenses of [US]$50 per day for the [five] days of IAC 2018
  13. Each Entrant selected as a prize winner shall, as a condition of entry and being provided with the prize, enter into a Grant Agreement, the key terms of which can be requested from pacf.everyfootstepcounts@viivhealthcare.com. Such terms will be amended as ViiV’s discretion in order to take into account the nature of each prize.
  14. An Entrant selected for the Amsterdam Prize must itself select a responsible person from within the Entrant’s organization aged eighteen years or more to participate in the Amsterdam Prize. The Entrant shall procure that such a person will participate in the Global Village Announcement of the Award of the Video Competition, as well as agreeing to spend at least one hour per day on ViiV Healthcare’s Positive Action Global Village Booth, to speak about their organization’s work and the experience of the video competition. The Entrant may be asked to participate in other Video Competition related activities organized by ViiV Healthcare, the International AIDS Society and/or MTV/Staying Alive Foundation.
  15. No cash or alternative will be offered for the Amsterdam Prize in whole or part. In the event of unforeseen circumstances (including but not limited to the cancellation or the change of date of the IAS 2018), ViiV reserves the right to withdraw the Amsterdam Prize (without prejudice to ViiV’s other rights).
  16. The winner of the prizes will be selected by way of the following process:
    • Entries must be submitted in accordance with the process and timetable set out above;
    • A shortlist of eligible videos as determined by PACF will be opened for public viewing and voting until and including 9 May 2018. Those videos not selected for the shortlist will still be available to view online;
    • A shortlist of five to six videos receiving the most votes, as determined by ViiV based on the online voting platform, will be passed to a judging panel comprising a panel to be announced by 14 May 2018 on the competition website;
    • The judging panel will make a decision on which two videos are selected as winners;
    • The winners of the prizes will be announced at the Global Village Video Competition Event (date TBC between 23-27 July)
  17. The decision of the judging panel will be final and no correspondence will be entered into with Entrants.
  18. By submitting an Entry, the Entrant confirms its agreement with these Terms and Conditions, and further:
    • Acknowledges and agrees that the Video may be published, reproduced, edited and/or used (in whole or in part) anywhere in the world by ViiV, its affiliated companies and any third parties acting on ViiV’s behalf in any format (including but not limited to https://www.viivhealthcare.com/supporting-the-community/positive-action-programmes/positive-action-for-children-fund/every-footstep-counts.aspx and at the Amsterdam Conference) for any purpose whatsoever. For the avoidance of doubt, ViiV shall have no obligation to do any of the foregoing;
    • Licenses (by way of a irrevocable, perpetual, worldwide, royalty-free and sub-licensable licence) ViiV, its affiliated companies and any third parties acting on ViiV’s behalf to do any or all of the activities contemplated by these Terms and Conditions, and warrants that the exercise of such a right will not infringe any third party right in any jurisdiction;
    • Warrants that, in relation to the use of the Video as contemplated by these Terms and Conditions, it has procured the waiver of all relevant data protection rights, moral rights and/or other rights of any person (a) featured, appearing or otherwise referred to or identifiable in the Video, (b) involved in the making of the Video, and (c) involved in the Entrant’s entry or participation in any of the prizes;
    • Agrees that the preparation and submission of its entry is its own cost and ViiV shall not be obliged to make any payment whatsoever to Entrants in relation to an entry (save as explicitly set out above in relation to prize winners) or the exercise of ViiV’s rights under this Agreement; and
    • Agrees that any physical property provided to ViiV in relation to an entry (for example any USB disk containing a Video) will become the property of ViiV and will not be returned.
  19. All entry instructions form part of these Terms and Conditions, and in the event of any conflict between such instructions and these Terms and Conditions, these Terms and Conditions shall prevail.
  20. This letter shall be governed in all respects by the laws of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
